2. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you") and ASell Empire Ltd., a UK company providing services under the "Chaxi AI" brand to customers in France and the European Union. For French customers: By using our services marketed and specifically intended for France, you acknowledge that, although we are a UK company, we are committed to respecting French business practices and consumer rights. If you use our Service on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

3. Applicable law and jurisdiction

3.1 Choice of law • For French consumers: French consumer protection law applies insofar as it provides mandatory protections • For French businesses: these Terms are governed by English law, except for mandatory French provisions • General framework: English law applies, with recognition of mandatory EU/French provisions 3.2 Jurisdiction • French consumers: may bring proceedings in French courts in accordance with European regulation • French businesses: courts of England and Wales, unless French law requires otherwise • Alternative: European Online Dispute Resolution platform available

Chaxi AI offers: • AI-powered chatbot generation for French taxis and ride-hailing services • WhatsApp Business integration for customer communication • Google Calendar integration for booking management • Gmail integration for notifications • Euro (€) pricing for the French market • Support for customer interactions in French • Compliance with French taxi regulations Services are optimized for the French market while being operated from the United Kingdom.

5. Registration and user account

5.1 Eligibility • Minimum age: 18 years • Legal capacity to contract • For French businesses: valid SIRET/SIREN number • Valid taxi/ride-hailing license where applicable 5.2 Account information You must provide: • Accurate professional information • Valid French business registration (for professionals) • VAT number for B2B transactions • Accurate contact details for operations in France 5.3 Cross-border considerations • Accounts are managed from our UK systems • Data may be processed in the UK (adequacy decision) • French language support available

6. Service use and compliance with French market

6.1 Compliance with French regulations Users must comply with: • The French Transport Code • Local prefecture requirements for taxi/ride-hailing • The Consumer Code • French data protection requirements • Provisions of the Thévenoud Law for taxis 6.2 Prohibited uses You must not: • Operate illegal transport services in France • Violate the French taxi license/medallion system • Engage in activities contrary to French competition law • Discriminate against customers (French anti-discrimination laws) • Use the service for purposes other than transportation

7. Pricing and payment terms

7.1 Currency and pricing • All prices displayed in euros (€) • VAT will be applied upon effective UK registration • For French B2B customers: VAT reverse charge with valid VAT number • Prices are exclusive of taxes unless otherwise stated 7.2 Payment processing • All payments processed securely via Stripe • Stripe is PCI-DSS compliant and processes payments according to European regulation • We accept major credit cards, debit cards and SEPA direct debits • Your payment information is transmitted directly to Stripe and never stored on our servers • Currency conversion handled automatically by Stripe at prevailing rates 7.3 Payment security • We do not store or have access to your complete card data • All payment data is encrypted and processed by Stripe • Stripe may store your payment method for recurring subscriptions (with your consent) • You can manage your payment methods in your account settings 7.4 Billing • Electronic invoices sent by email • Compliance with French billing requirements where applicable • VAT details will be displayed upon effective registration • Receipts generated automatically by Stripe for all transactions 7.5 Right of withdrawal (French consumers) • 14-day withdrawal right under European distance selling directive • Runs from conclusion of service contract • Not applicable to B2B or after service commencement with consent • Refunds processed via Stripe to original payment method

9. Intellectual property

9.1 Ownership All intellectual property remains the property of ASell Empire Ltd. under UK law: • Software and algorithms • Trademarks and branding (including the "Chaxi AI" brand) • Documentation (in English and French) 9.2 User content • You retain ownership of your content • You grant us a license for processing within the service framework • Content must comply with French and UK legislation

10. Liability and exclusions

10.1 UK company limitations As a UK company serving French customers: • Liability limited under English law, subject to mandatory French provisions • Professional liability insurance maintained in the UK • Compliance with French consumer protections 10.2 Limitation amounts • Total liability limited to fees paid in the last 12 months • Exclusions: death, personal injury, fraud, gross negligence • Mandatory consumer protections for French customers preserved 10.3 Cross-border service risks You acknowledge: • Service provided from the UK • Potential risks of latency or connectivity • Currency fluctuation risks • Different legal system (with protections maintained)

12. Termination

12.1 User termination • French consumers: cancellation at any time according to subscription rules • French businesses: 30 days' notice unless otherwise agreed • Data export available 12.2 Chaxi AI termination • 30 days' notice for convenience • Immediate for serious breach • Compliance with French notification requirements 12.3 After termination • Data available for export (30 days) • Refunds according to applicable law • Deletion according to retention policy

13. Dispute resolution

Payment Processing: All payments are processed securely via Stripe, a PCI-DSS compliant provider. We never store your credit card data.
